Terms of Service

These Terms of Service explain the terms on which Webicop provides digital business services, including website design and development, branding, business setup support, virtual assistance, digital marketing support, automation and related services.

By purchasing services from Webicop or accepting a proposal, quotation or statement of work that incorporates these terms, you agree to these Terms of Service.

About Webicop

Webicop provides digital business, technology and business-support services to individuals and organisations in the United Kingdom and internationally.

References to “Webicop”, “we”, “us” or “our” mean the Webicop business providing the relevant service. References to “you”, “your” or “client” mean the person or organisation purchasing or using our services.

Our Services

Webicop may provide services including website design and development, branding, business setup support, virtual assistance, search engine optimisation, digital marketing support, CRM and workflow setup, AI and business automation, website maintenance and related digital services.

The exact services, deliverables, timescales and fees for each project will be set out in the relevant proposal, quotation, order, package description or statement of work.

Information provided through our business setup services is general administrative and practical support. Unless expressly agreed otherwise, Webicop does not provide regulated legal, tax, accounting, financial or investment advice. Clients should obtain advice from appropriately qualified professionals where required.

Proposals, Scope and Acceptance

Before work begins, we will confirm the agreed scope, deliverables and fees.

A project may be confirmed through a proposal, quotation, invoice, package purchase, written agreement or other written confirmation accepted by the client.

Requests outside the agreed scope may require additional fees and may affect the delivery schedule. We will communicate material additional charges before carrying out chargeable out-of-scope work.

Client Responsibilities

To deliver services effectively, clients may need to provide information, content, feedback, approvals, account access, brand materials and other resources.

Clients are responsible for ensuring that materials they provide are accurate and that they have the necessary rights or permissions for us to use them.

Delays in providing required information, feedback or approvals may affect delivery times.

Fees and Payment

Prices and payment arrangements will be stated in the applicable proposal, quotation, invoice, package or statement of work.

Work may require an upfront payment or deposit before commencement.

Where staged payments are agreed, payments must be made according to the agreed schedule.

Unless otherwise agreed in writing, additional work outside the agreed scope will be quoted separately.

Project Timelines

Any delivery timeframe communicated by Webicop is an estimate or planned delivery window unless expressly confirmed otherwise in writing.

Timelines may depend on project scope, third-party services and the client providing required content, information, access, feedback and approvals on time.

We will communicate material changes to an agreed project schedule where reasonably possible.

Revisions and Changes

The number and scope of revisions included in a project will be specified in the relevant package, proposal or statement of work.

Requests beyond the agreed revision allowance or material changes to an approved scope may be treated as additional work and quoted separately.

Third-Party Services

Some Webicop services may rely on third-party platforms or providers, including hosting companies, domain registrars, payment processors, email providers, analytics services, advertising platforms, AI providers, CRM systems and other software services.

Third-party services may be subject to their own terms, pricing and availability.

Webicop is not responsible for outages, policy changes, price changes or service failures caused solely by third-party providers outside our reasonable control.

Websites, Domains and Hosting

Where applicable, ownership and access arrangements for websites, domains, hosting and related accounts will be explained as part of the relevant project.

Clients remain responsible for ongoing third-party charges such as domain renewals, hosting subscriptions, premium software, licences or platform fees unless those costs are expressly included in an ongoing Webicop service.

Intellectual Property

Clients retain ownership of materials they supply to Webicop.

Unless otherwise agreed in writing, once all amounts due for a completed project have been paid, the client will receive the agreed rights to final custom deliverables created specifically for that project.

Webicop retains ownership of its pre-existing materials, internal methods, reusable frameworks, know-how, templates, tools and other intellectual property not created exclusively for the client.

Third-party assets remain subject to the licences and terms of their respective owners.

Portfolio Use

Unless confidentiality has been agreed or the client asks us not to, Webicop may request permission to display completed work in its portfolio, case studies or marketing materials.

Where client permission is required, we will seek it before publishing confidential or non-public information.

Confidentiality

Each party should treat confidential business information received from the other party as confidential and use it only as reasonably necessary for the relevant project or service.

This does not apply to information that is already public, lawfully obtained from another source or required to be disclosed by law.

Data Protection and Privacy

Personal information is handled in accordance with Webicop’s Privacy Policy.

Where a service requires access to client systems or personal data, both parties are expected to take reasonable steps to protect credentials and confidential information.

Cancellations and Refunds

Cancellation, termination and refund rights depend on the service purchased, work already completed, costs already incurred and any specific terms agreed for the project or ongoing service.

Where a client wishes to cancel a project or service, they should contact Webicop as soon as possible.

Any applicable refund or outstanding payment will be assessed according to the agreed service terms and applicable law.

Nothing in these terms affects any statutory rights that cannot lawfully be excluded or restricted.

Results and Performance

Webicop aims to provide professional services designed to support business objectives, but business, marketing, advertising, SEO, automation and website performance can depend on factors outside our control.

Unless expressly agreed in writing, we do not guarantee particular levels of revenue, leads, search rankings, advertising performance, conversion rates or other commercial outcomes.

Limitation of Liability

To the extent permitted by law, Webicop will not be responsible for indirect or consequential losses arising from the use of our services or from matters outside our reasonable control.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded under applicable law.

Suspension or Termination

Webicop may pause or terminate work where required payments remain outstanding, necessary client information is not provided, continued work would be unlawful, or there is a serious breach of the agreed terms.

Where reasonably possible, we will communicate the issue before suspending or terminating a service.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, operations or legal requirements.

The version applicable to a specific project will normally be the version in effect when that project or service is agreed, unless otherwise agreed.

Governing Law

These Terms are governed by the laws of England and Wales, subject to any mandatory rights or protections that apply to the client under applicable law.
